RXi Pharmaceuticals Corporation

RXi Pharmaceuticals (OTCBB: RXII) is a biotechnology company focused on discovering, developing and commercializing therapies for the treatment of neurodegenerative disease, diabetes and obesity based on its proprietary RNAi platform.  RXi acquired Apthera, Inc., a company engaged in developing cancer immunotherapy, in April, 2011.

Caliber provided valuation services to determine the fair values of the intangible assets acquired in the transaction in accordance with FASB ASC 805 and ASC 820. The valuation included intangible assets such as trademarks, trade names and in process research and development.

Trust Company of the West

TCW is an investment company offering U.S equity, U.S fixed income, international and alternative funds for institutional and individual investors and is a subsidiary of Societe Generale (SOGN.PA).

Caliber was engaged to provide services in determining the fair value of the company’s purchase obligations remaining from recent acquisitions. The obligations included several nested puts and calls and required Monte Carlo simulation and actuarial employee retirement forecasts to accurately assess fair value.

Clinical Research Organization

Two shareholders in a clinical research organization (CRO) retained Caliber to determine the fair market value of the company’s shares to assist in finalizing a buy/sell agreement. The CRO researches and develops clinical treatments for its external clients and internal development program.

The clients were adversarial and we were asked to provide a valuation for mediation purposes.

HME and Clear-Com

HME provides wireless communication, timer and software products to the quick service restaurant industry, and sports communication equipment to high school and collegiate athletic programs. In 2010, HME acquired Clear-Com to expand its offering of professional audio systems. Clear-com offers a comprehensive selection of matrix, party line and wireless intercoms for live event, church, military, and broadcast production applications.

Caliber was engaged to determine the fair value of the intangible assets of Clear-Com for financial reporting purposes.

Pioneer Surgical Technology

Pioneer Surgical Technology is a designer and manufacturer of spinal and orthopedic implants and instruments.

We assisted the board of directors in determining the fair value of the Company’s common stock for equity stock grants. We applied company forecasts, industry trends, market prices, and historical transactions to determine the value of the company. A key element in the analysis was creating a sum of the parts analysis on the Company’s products that are in different stages of their life cycle.
