All valuations were prepared in accordance with IFRS 3.

We determined the fair value of certain restricted stock units (RSUs) with market-performance based triggers issued by Affymetrix. The RSUs were dependent upon two different but correlated market prices. We developed a multivariable Monte Carlo simulation to measure the likelihood of triggers being met in accordance with FASB ASC 718.
Velocity Express is a North American express delivery service, specializing in same-day, on-demand services. The Company was recently purchased by TransForce, Inc. (TSX: TFI) a Canada-based, North American transportation and logistics company. Caliber provided financial advisory services to the Board of Directors of Velocity and prepared a fairness opinion on the transaction.
